1. Define the Relationship: Contractor or Employee?

significant tax and legal penalties, back pay (including expensive overtime pay), and
legal issues with Federal and state regulators.

Key difference:

  • Independent Contractors set their own hours, use their own tools, and work for multiple clients.

  • Employees work under your control, set schedule, provided tools, and ongoing supervision.

The Fix: Use clear agreements and consult a legal professional before onboarding as
states have different classification rules (with California being particularly problematic!).
When in doubt, document everything and keep your classifications clean.


2. Create Solid Work Agreements

A handshake or email chain doesn’t cut it. Whether you’re hiring a video editor, content manager, VA, or social media strategist, you need a signed agreement outlining:

  • Scope of work

  • Payment terms

  • Timelines and deadlines

  • Intellectual property ownership

  • Confidentiality

  • Termination conditions

3. Protect Your IP as You Scale

If someone helps you create content, products, or designs, do you still own them?

Not unless your agreement explicitly transfers intellectual property rights. Without that clause, your assistant might legally own the content they helped produce, even if you paid them.

The Fix: Include a “Work Made for Hire” or IP assignment clause in every agreement
(again with some special tweaks for California contractors). It’s simple, powerful, and
essential.


4. Have a Plan for Confidentiality and Non-Competes

As you grow, you're sharing more: brand strategies, revenue data, audience insights. If you’re not protecting that information, you're putting your business at risk.

Solution:

  • Use NDAs (Non-Disclosure Agreements) to protect sensitive business information.

  • If applicable (and allowed by state law, California again!) consider a non-
    compete or non-solicitation clause, especially for core team members.


5. Plan for Growth, Not Just Hiring

Hiring one person is one thing. Building a team is another. Your legal infrastructure
